Terms & Conditions

  1. These Terms and Conditions apply to all assignments carried out and all advice given by and all legal acts of or with KederLegal. KederLegal is a trade name of Keder Enterprises B.V. registered with the Chamber of Commerce in Amsterdam under number 34310090. Terms and conditions of any party with which KederLegal does business are hereby explicitly excluded. These Terms and Conditions also apply for the benefit of subordinates and third parties engaged by KederLegal for the fulfilment of a specific assignment. Assignments accepted by KederLegal are deemed to be assignments pursuant to Article 7:400 et seq. of the Dutch Civil Code.
  2. KederLegal is entitled to engage third parties for the performance of a specific assignment. KederLegal shall exercise due care in selecting such a third party. However, KederLegal accepts no liability towards the client for any act or omission of such a third party. KederLegal is entitled to accept limitations of liability of such a third party on behalf of the client.
  3. KederLegal undertakes to keep confidential, during and after the completion of an assignment, all confidential information received from the client. Confidential information means information about contracts, the organisation of the client, its customers and suppliers, and all other information about the client's business of which KederLegal knew or should have known that it was of a confidential nature. The obligation of confidentiality does not apply to information that is or becomes public, or that KederLegal received from a third party without a confidentiality obligation, and/or that KederLegal is required by law to disclose.
  4. When KederLegal, in connection with its activities in its role as data controller, receives personal data of personnel, customers, suppliers or relations of its clients or of third parties, KederLegal shall handle such data in accordance with its privacy policy.
  5. The client shall pay KederLegal the agreed price for the performance of the assignment, plus VAT and costs for travel and accommodation or other costs incurred on behalf of the client, insofar as agreed between KederLegal and the client. KederLegal shall invoice the client monthly in arrears unless otherwise agreed. The client shall pay each invoice within 14 days of the invoice date. If the client has not paid the amounts due within the aforementioned period, without any notice of default being required and without prejudice to all other rights to which KederLegal is entitled, KederLegal shall charge statutory interest from the moment payment is due until the moment of full payment.
  6. KederLegal accepts no liability for damages resulting from the non-performance or late performance of the assignment, including destruction or disclosure of confidential information, unless and insofar as the damage is the result of intent, wilful recklessness or gross negligence on the part of KederLegal. KederLegal's liability shall at all times be limited to the amount, exclusive of VAT, paid by the client in the preceding 6 months for the relevant assignment in which the damage occurred.
  7. All rights and all powers on whatever grounds with respect to the services that have been or are delivered by KederLegal shall in any event lapse one year after the moment at which the client became aware or could reasonably have become aware of the cause giving rise to those rights and powers, without prejudice to any earlier lapse of rights under the law.
  8. Third parties cannot derive any rights from any advice or service provided by KederLegal, and KederLegal accepts no liability towards third parties unless explicitly agreed otherwise in writing. The client shall indemnify and hold harmless KederLegal against all claims of third parties that are in any way related to the work performed for the client, including the reasonable costs of defence against such claims.
  9. Dutch law governs all legal relationships to which these Terms and Conditions apply. Any disputes arising from or in connection with these Terms and Conditions shall be submitted to the competent court in Amsterdam.
